Notice of Commencement
On September 19, 2019, GoDigital, Inc., a Delaware corporation (“GoDigital”) made a General Assignment for the Benefit of Creditors under California law (“ABC”). GD ABC, LLC (“Assignee”) is the Assignee and was assigned all of the assignable assets of GoDigital.
An ABC is a proceeding under California law by which the assets of the entity making the assignment (in this case, GoDigital) are liquidated in an expeditious and orderly fashion for the general benefit of all creditors, and the liquidation proceeds are distributed to creditors that timely submit claims as instructed below, pursuant to the priority scheme set forth in the California Code of Civil Procedure.
In accordance with California law, all liabilities of GoDigital remain with GoDigital and were not assigned to Assignee. As a result of the ABC, GoDigital has ceased operations and is no longer actively engaged in business and the Assignee is winding-down licensing relationships with media platforms.
The ABC is expected to be a 9 to 12 month process before any distributions of funds will be made. The Assignee will provide quarterly updates by email on the status of the ABC. The Assignee acknowledges that some creditors, namely Licensors, may require information on the amount owed to them. The Assignee will provide that information promptly after the accounting is completed and before the Claim deadline.

All entities asserting a claim against GoDigital, you must submit a proof of claim and proper supporting documentation to the Assignee, at the address listed below, no later than February 28, 2020. A proof of claim form is attached, and can also be found at www.gdabcllc.com and completed online. Completed proofs of claim can be mailed to:

Any claimant that fails to timely submit a claim in accordance with the instructions set forth above shall be barred from sharing in any distributions of proceeds of the liquidation of GoDigital’s assets and shall not receive any payment from the Assignee.
